IMPORTANT: By creating an account, subscribing to a plan, or using any AgenticLive service, you agree to be legally bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and AgenticLive, operated by TFN Media Group LLC ("Company," "we," "us," or "our"), governing your access to and use of the AgenticLive platform, website, APIs, and all related services (collectively, the "Service").

By (a) clicking "I agree," (b) checking an acceptance checkbox, (c) creating an account, (d) submitting payment, or (e) using the Service in any way, you confirm that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of a company or organization, you represent and warrant that you have authority to bind that entity to these Terms. "You" includes both the individual and any entity you represent.

2. Description of Service

AgenticLive provides an AI agent platform enabling users to deploy pre-built or custom AI agents ("Agents") that operate autonomously to perform tasks including but not limited to: customer communication, sales outreach, content creation, financial reporting, scheduling, data processing, and workflow automation via third-party integrations.

Agents may send messages, access connected accounts, execute web actions, and interact with external platforms on your behalf based on your configuration and instructions. You are solely responsible for how you configure and deploy your Agents.

3. Account Registration & Eligibility

3.1 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use this Service. If you are under 18, do not create an account.

3.2 Account Information

You agree to provide accurate, complete, and current registration information and to keep it updated. False registration information — including false email addresses — is a material breach of these Terms and grounds for immediate termination.

3.3 Email Verification

We require email verification before activating your Agent. You must provide a valid, working email address you own and control. Verification codes are time-limited and non-transferable.

3.4 Account Security

You are responsible for maintaining the confidentiality of your Telegram bot token, account credentials, and API keys. You are fully responsible for all activity under your account. Notify us immediately at security@agenticlive.ai of any unauthorized access.

3.5 One Account Per Person

Each individual or business entity may maintain only one active account per subscription tier. Creating multiple accounts to circumvent usage limits or obtain trial periods multiple times is prohibited and grounds for suspension.

4. Subscriptions, Billing & Payments

4.1 Subscription Plans

AgenticLive offers paid subscription plans ("Starter" at $29/mo, "Professional" at $79/mo, "Business" at $149/mo) and custom Enterprise plans. Features and usage limits vary by plan as described on our pricing page.

4.2 Payment Processing

All payments are processed securely by Stripe, Inc. By subscribing, you authorize us to charge your payment method on a recurring basis. We do not store your full payment card details — they are held by Stripe under PCI-DSS compliance.

4.3 Automatic Renewal

All paid subscriptions automatically renew monthly on your billing anniversary unless cancelled before that date. You authorize recurring charges to your payment method on file. You may cancel at any time through your dashboard; cancellation takes effect at the end of the current billing period.

4.4 Price Changes

We reserve the right to change subscription pricing with 30 days' written notice via email. Continued use after the effective date constitutes acceptance of the new pricing.

4.5 Failed Payments

If a payment fails, we will attempt to retry up to three times over seven days. If payment remains unsuccessful, your Agent will be paused and your account may be suspended until payment is resolved.

4.6 Taxes

Prices listed do not include applicable sales tax, VAT, or GST. You are responsible for all applicable taxes in your jurisdiction. We may collect and remit taxes as required by law.

5. Refund Policy

5.1 Monthly Plans

Monthly subscriptions are generally non-refundable. If you experience a service outage directly caused by our infrastructure lasting more than 24 consecutive hours, you may request a prorated credit for the downtime period.

5.2 No Refunds for Agent Actions

We do not provide refunds for credits or subscription fees consumed by Agent actions, including actions that produce unwanted, inaccurate, or failed results. AI outputs are probabilistic — we cannot guarantee specific outcomes.

5.3 Exceptional Circumstances

Refund requests for exceptional circumstances (billing errors, duplicate charges, technical failures on our end) must be submitted within 14 days to billing@agenticlive.ai and will be reviewed on a case-by-case basis.

6. AI Agent Disclaimer & Autonomous Actions

CRITICAL: Your Agents may take autonomous actions on your behalf — including sending messages, accessing accounts, executing transactions, and interacting with third parties. YOU ARE SOLELY AND FULLY RESPONSIBLE for all actions taken by your Agents. Review Agent outputs carefully before deploying Agents in production environments.

6.1 No Guarantee of Accuracy

AI outputs are probabilistic and may contain errors, hallucinations, inaccuracies, or unexpected behavior. AgenticLive makes no warranties that Agent outputs will be accurate, complete, legal, safe, or appropriate for your specific purpose.

6.2 Human Oversight Required

You must maintain adequate human oversight of your Agents. Do not rely solely on Agent outputs for financial decisions, legal matters, medical guidance, safety-critical operations, or communications with real third parties without human review.

6.3 Autonomous Email & Messaging

If you configure your Agent to send emails, messages, or other communications, you represent that you have obtained all required consents from recipients under applicable law (including CAN-SPAM, CASL, GDPR, and similar regulations). You are solely responsible for compliance with anti-spam and data protection laws.

6.4 Financial & Legal Actions

AgenticLive Agents must not be used to execute financial transactions, sign contracts, make legal commitments, or take any binding legal action without explicit human approval at each step. We are not liable for any such actions taken by Agents you deploy.

9. Third-Party Integrations & Credentials

9.1 Your Responsibility

By connecting third-party services (Telegram, Gmail, Google Calendar, Slack, Stripe, etc.) to your Agent, you authorize AgenticLive to access and act on those services on your behalf as configured. You are responsible for ensuring you have the legal right to connect those services and for complying with each service's terms of use.

9.2 Bot Tokens & API Keys

You are solely responsible for the security of any bot tokens, API keys, or credentials you provide to AgenticLive. We store credentials in encrypted form but we cannot guarantee against all security breaches. Never share credentials that have permissions beyond what your Agent requires.

9.3 Third-Party Liability

AgenticLive is not responsible for the availability, security, accuracy, or terms of any third-party service. Third-party services may limit, suspend, or terminate access at any time without notice to us or you.

9.4 Credential Rotation

Each Agent must use unique credentials. You must not assign the same bot token or API key to multiple clients or accounts. Misuse of shared credentials is a material breach of these Terms.

10. Data Ownership & Privacy

10.1 Your Data

You retain full ownership of all data you input into the Service ("Customer Data"), including configurations, messages, documents, and credentials. We do not claim ownership of your Customer Data.

10.2 License to Us

By using the Service, you grant AgenticLive a limited, non-exclusive, royalty-free license to process, store, and use your Customer Data solely to provide and improve the Service. We do not sell your Customer Data to third parties.

10.3 Data Retention

We retain your Customer Data for the duration of your account and for 30 days following account termination, after which it may be permanently deleted. You are responsible for exporting any data you wish to retain before terminating your account.

10.4 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you also agree to our Privacy Policy.

11. Intellectual Property

11.1 Our IP

AgenticLive and its licensors own all rights, title, and interest in the Service, including all software, agent frameworks, NAR architecture, interfaces, trademarks, logos, and content we provide. "AgenticLive," "Infinite Agent," and related marks are trademarks of TFN Media Group LLC. Nothing in these Terms transfers ownership of our IP to you.

11.2 Your IP

You retain ownership of content you create using the Service. You represent that you own or have rights to all content you input into the Service and that it does not infringe any third-party intellectual property rights.

11.3 Feedback

Any feedback, suggestions, or enhancement requests you provide regarding the Service may be used by us without obligation or compensation to you.

12. Confidentiality

Each party agrees to hold the other's Confidential Information in strict confidence and not disclose it to third parties or use it for any purpose other than performing obligations under these Terms. "Confidential Information" excludes information that is publicly known, independently developed, or lawfully received from a third party. Confidentiality obligations survive termination by 3 years.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTICLIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR BUSINESS INTERRUPTION — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. In such cases, our liability is limited to the maximum extent permitted by applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless AgenticLive and its parent company TFN Media Group LLC, officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your Agent's actions or outputs; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; (e) your violation of any third party's rights; or (f) any content or data you submit to the Service.

15. Service Availability & SLA

We target 99% uptime but do not guarantee uninterrupted availability. Scheduled maintenance, third-party outages, and force majeure events may affect availability. We are not liable for any damages resulting from service interruptions.

In the event of platform-caused outages exceeding 24 continuous hours, affected customers may request a prorated service credit (not cash refund) for the affected period. Credit requests must be submitted within 7 days of the outage to support@agenticlive.ai.

16. Suspension & Termination

16.1 By You

You may cancel your subscription and terminate your account at any time through your dashboard. Cancellation is effective at the end of the current billing period. No prorated refunds for unused subscription time.

16.2 By Us

We reserve the right to suspend or terminate your account immediately, without notice or refund, if you: (a) violate these Terms; (b) engage in fraudulent or abusive activity; (c) pose a security risk to the platform or other users; or (d) fail to make required payments. We may also terminate accounts with 30 days' notice for any business reason.

16.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Your Agent will be decommissioned and your data may be deleted after 30 days. Sections 10-14, 17, and 19 survive termination.

17. Dispute Resolution & Arbitration

17.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. The UN Convention on Contracts for the International Sale of Goods does not apply.

17.2 Binding Arbitration

Any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except as stated below. Arbitration proceedings will be conducted in English, in Los Angeles County, California, or virtually.

17.3 Class Action Waiver

YOU AND AGENTICLIVE EACH WAIVE ANY RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN CLASS-ACTION LAWSUITS OR CLASS-WIDE ARBITRATION. All disputes must be brought in your individual capacity only.

17.4 Exceptions

Either party may seek emergency injunctive or equitable relief in court to protect intellectual property rights or prevent imminent irreparable harm, without first going through arbitration.

17.5 Informal Resolution First

Before initiating arbitration, you must first contact us at legal@agenticlive.ai and attempt to resolve the dispute informally for at least 30 days.

18. Changes to Terms

We may update these Terms at any time. For material changes, we will provide at least 14 days' notice via email or in-app notification before the new Terms take effect. Your continued use of the Service after that date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must cancel your account before the effective date.
