Please read these Terms of Service carefully before using AgentiCLive. By creating an account or using our services, you agree to be bound by these terms.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and AgentiCLive ("Company," "we," "us," or "our") governing your access to and use of the AgentiCLive platform, website, and services (collectively, the "Service").
By accessing or using the Service, you represent that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
AgentiCLive provides an AI agent platform that allows users to rent pre-built AI agents or build custom AI agents ("Agents") that operate autonomously to perform tasks including but not limited to customer service, sales outreach, content creation, financial reporting, and workflow automation.
Our Service operates on a credit-based system where users purchase subscription plans and/or credit bundles to power their Agents' actions.
To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for:
We reserve the right to terminate accounts that violate these Terms or remain inactive for extended periods.
AgentiCLive offers several subscription tiers (Free, Starter, Pro, Business, Enterprise) with varying credit allocations and feature access. Paid subscriptions are billed monthly or annually in advance.
All paid subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. By subscribing, you authorize us to charge your payment method on a recurring basis.
Annual subscriptions are billed in full upfront. You may request a refund within 14 days of initial purchase if you have not exceeded 500 credits of usage. After 14 days or after exceeding usage thresholds, annual subscriptions are non-refundable.
We reserve the right to modify subscription prices with 30 days' written notice. Continued use of the Service after price changes constitutes acceptance of the new pricing.
Credits are the currency used to power Agent actions on AgentiCLive. One credit corresponds to one billable action. Credits are consumed based on the type and complexity of actions performed.
Monthly subscription credits reset on your billing anniversary date. Unused credits from monthly subscriptions do not roll over except where explicitly stated in your plan (Pro plan and above). Purchased credit top-up bundles do not expire for 12 months from date of purchase.
Credits are non-refundable once purchased, except in cases of platform error or service outages exceeding 24 hours that were caused by our systems. We do not provide refunds for credits consumed by Agent actions, including failed or undesired outcomes.
When your credit balance reaches zero, your Agents will automatically pause and cease performing actions. Credits must be added to resume Agent operation. We are not liable for any business impact resulting from Agents being paused due to insufficient credits.
If you enable the auto top-up feature, you authorize us to automatically charge your payment method for credit bundles when your balance falls below your configured threshold. You may disable auto top-up at any time in your dashboard settings.
You agree not to use the Service or instruct your Agents to:
Violation of this section may result in immediate account suspension without refund and may be reported to relevant authorities.
⚠️ IMPORTANT: AgentiCLive provides AI-powered tools. AI outputs are probabilistic and may contain errors, inaccuracies, or unexpected behavior. You are solely responsible for reviewing, validating, and approving any Agent outputs before acting on them — especially for financial, legal, medical, or external communications.
We do not guarantee that Agent outputs will be accurate, complete, appropriate, or suitable for your specific purpose. You assume full responsibility for how you configure, instruct, and use your Agents and for all consequences of their actions.
The Service allows you to connect third-party services (Google, Slack, Telegram, etc.) to your Agents. By connecting these services, you authorize AgentiCLive to access and use data from those services on your behalf as configured. You are responsible for ensuring you have the rights and permissions to connect such services and for complying with those services' terms of use.
You retain ownership of all data you input into the Service ("Customer Data"). By using the Service, you grant AgentiCLive a limited license to process your Customer Data solely to provide the Service. We do not sell your Customer Data to third parties. See our Privacy Policy for full details.
AgentiCLive and its licensors own all rights, title, and interest in the Service, including all software, agent frameworks, interfaces, and content we provide. Nothing in these Terms grants you ownership rights in the Service. You retain ownership of content you create using the Service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTICLIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.
You agree to indemnify, defend, and hold harmless AgentiCLive and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
Either party may terminate your account at any time. You may cancel your subscription through your dashboard settings. We may suspend or terminate your account immediately for violations of these Terms, with or without notice. Upon termination, your right to access the Service ceases, and your Agent data may be deleted after 30 days.
These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under the American Arbitration Association's rules, except that either party may seek injunctive relief in court for IP violations. Class action lawsuits are waived.
We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use after changes take effect constitutes acceptance.
